Terms of Service

Last updated: August 1, 2026

1. Acceptance of Terms

By creating an account or using LexAI ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are registering on behalf of a law firm or organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

LexAI is a practice management platform for law firms operating in the Philippines, providing case management, client management, document storage, scheduling, and AI-assisted features including document summarization, drafting assistance, and legal research assistance.

3. Eligibility

The Service is intended for use by licensed legal professionals, law firm staff, and related personnel acting in a professional capacity. You must be at least 18 years old to create an account.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

5. Subscription, Billing, and Payment

The Service is offered under subscription plans as described on our pricing page, billed monthly in Philippine Pesos. Fees are non-refundable except as required by law or expressly stated otherwise. We reserve the right to change subscription pricing with prior notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

AI features are subject to usage limits ("AI Credits") as described in your plan. Additional AI Credits may be purchased separately.

6. AI-Generated Content — Important Disclaimer

AI features are a drafting and research aid only, not a substitute for professional legal judgment. Document summaries, risk flags, drafted documents, legal research output, and any other AI-generated content may contain errors, omissions, or inaccuracies, and may not reflect the most current statutes, rules, or jurisprudence. A licensed attorney must review, verify, and take professional responsibility for any AI-assisted output before relying on it, filing it, sending it to a client, or using it in any legal proceeding. LexAI is a tool; it does not practice law, and nothing in the Service constitutes legal advice from LexAI.

7. Your Data and Attorney-Client Privilege

As between you and LexAI, you (the law firm) retain all ownership rights to Client Data you input into the Service. LexAI acts as a data processor for that information and will not access, use, or disclose Client Data except as necessary to provide the Service, as instructed by you, or as required by law.

You are responsible for determining whether your use of a cloud-based platform like LexAI to store and process privileged or confidential client information is consistent with your professional responsibility obligations, including any duty to inform clients about the use of third-party service providers, and for obtaining any client consent your professional obligations may require.

8. Acceptable Use

You agree not to: use the Service for any unlawful purpose; upload content that infringes third-party rights; attempt to gain unauthorized access to the Service or other users' data; use the Service to generate content that facilitates harm, fraud, or the unauthorized practice of law by non-lawyers; or interfere with the Service's operation or security.

9. Intellectual Property

LexAI and its original content, features, and functionality are owned by LexAI and protected by applicable intellectual property laws. These Terms do not grant you any rights to LexAI's trademarks or branding.

10. Limitation of Liability

To the maximum extent permitted by law, LexAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. LexAI's total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable Philippine law.

11. Indemnification

You agree to indemnify and hold LexAI harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including any professional responsibility obligations owed to your own clients.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or as required by law. Upon termination, we will provide a reasonable opportunity to export your data before deletion, except where immediate termination is necessary for security or legal reasons.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the proper courts of the Philippines.
